By accessing or using the Valsoft M&A CRM (the "Application"), you agree to be bound by these Terms of Service. The Application is operated by Valsoft Corporation ("Valsoft") for internal use by its employees only.
The Application is made available exclusively to authorised Valsoft employees with a valid @valsoftcorp.com email address. You must not:
All information contained in the Application — including acquisition targets, financial data, deal terms, contacts, and internal notes — is strictly confidential and constitutes proprietary business information of Valsoft Corporation. You agree to treat all such information with the same degree of care as you would your own confidential information, but in no event less than reasonable care.
This confidentiality obligation survives termination of your employment or access to the Application.
If you connect a Gmail account to the Application, you authorise Valsoft to send emails on your behalf using the Gmail API, limited to outreach emails that you explicitly compose and initiate. You may revoke this authorisation at any time via Settings → Gmail outreach → Disconnect.
You are responsible for the content of emails sent through the Application from your account. Emails should comply with all applicable laws and Valsoft's internal communication policies.
You are responsible for the accuracy and completeness of data you enter into the Application. Valsoft relies on this data for business decision-making. Deliberately entering false, misleading, or inaccurate information is a violation of these Terms.
The Application, including its design, code, and content, is the property of Valsoft Corporation. All data entered into the Application in the course of your employment is also the property of Valsoft Corporation.
Valsoft makes reasonable efforts to keep the Application available but does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Application at any time without notice.
Valsoft reserves the right to suspend or terminate your access to the Application at any time, including upon the termination of your employment. Upon termination, you must immediately cease all use of the Application.
To the fullest extent permitted by law, Valsoft shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Application. The Application is provided "as is" for internal operational purposes.
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles.
